These Terms of Use (the “Terms” or this “Agreement”) govern your access to and use of the website operated by Changoo & Associates (“C&A,” “we,” “us,” or “our”) (the “Site”).
By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Site.

2.2 Limited License
Subject to your compliance with these Terms, C&A grants you a limited, revocable, non-exclusive, non-transferable license to access and display content from the Site for personal or internal business use only, provided that you do not modify the content and retain all proprietary notices.

6.3 Carve-Out
This section does not apply to information submitted pursuant to a formal client engagement, which is governed by separate confidentiality obligations.
7. Privacy

8. Disclaimers

C&A DOES NOT WARRANT THAT:

- THE SITE IS FREE OF VIRUSES OR HARMFUL COMPONENTS.

9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, C&A AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE.
C&A’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE CANADIAN DOLLAR (CAD $1.00).
10. Indemnification
You agree to indemnify and hold harmless C&A and its affiliates, officers, directors, employees, and agents from any claims, damages, or liabilities arising from:
- your use of the Site;
- your violation of these Terms;
- your violation of applicable law or third-party rights.
This obligation survives termination.11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
You consent to the exclusive jurisdiction of the courts located in Toronto, Ontario.
12. Compliance with Laws
You agree to comply with all applicable laws, including export control, sanctions, and anti-corruption regulations, in connection with your use of the Site.
13. Termination
We may suspend or terminate your access to the Site at any time, with or without notice. Provisions that by their nature should survive will remain in effect.
14. Miscellaneous
14.1 Severability
If any provision is found invalid, the remaining provisions remain enforceable.
14.2 No Waiver
Failure to enforce any provision does not constitute a waiver.
14.3 Assignment
You may not assign these Terms without consent. C&A may assign them freely.
14.4 Entire Agreement
These Terms constitute the entire agreement regarding use of the Site.
15. Regulatory Positioning
Changoo & Associates operates as an advisory platform. We do not act as brokers, dealers, placement agents, or underwriters, and we do not engage in securities distribution. Any financing or investment activities are conducted by appropriately licensed entities.
