These Terms of Access and Use (the “Terms”) govern access to and use of the website operated by Changoo & Associates (“C&A,” “we,” “us,” or “our”), including www.changooandassociates.com and its associated pages and content (the “Site”).

These Terms establish the conditions governing website access, intellectual property, permitted use, informational disclaimers, professional advisory limitations, and other legal obligations applicable to Site visitors.

By accessing or using the Site, you agree to these Terms. If you do not agree, you should not use the Site.

1. Eligibility & Changes to These Terms

1.1 Eligibility

The date shown at the top of these Terms identifies the most recent revision. Updated Terms apply prospectively from the date they are posted, subject to applicable law.

Your continued use of the Site after an update constitutes acceptance of the revised Terms.

2. Intellectual Property

2.1 Ownership

Unless otherwise indicated, the Site and its content—including text, graphics, logos, images, publications, frameworks, downloadable materials, video, software, and the selection and arrangement of such content—are owned by or licensed to C&A and are protected by applicable Canadian and international intellectual-property laws.

2.2 Limited Use

Subject to these Terms, C&A grants you a limited, revocable, non-exclusive, non-transferable right to access and use publicly available Site content for legitimate personal or internal business purposes.

You may not remove copyright, trademark, attribution, or other proprietary notices.

2.3 Restrictions

Except where expressly permitted by C&A or applicable law, you may not:

  • Reproduce or redistribute substantial portions of Site content.
  • Modify or create derivative commercial works from proprietary C&A materials.
  • Commercially exploit C&A frameworks, publications, templates, or methodologies.
  • Misrepresent C&A content as your own.
  • Use C&A trademarks, branding, or materials in a manner suggesting an unauthorized relationship or endorsement.
  • Circumvent technical measures intended to control access to restricted content.

Separate terms may apply to publications, digital products, subscription materials, secure portals, or other resources made available through the Site.

3. Informational Purpose & No Professional Relationship

3.1 General Information Only

The Site is provided for general informational and educational purposes.

Site content does not constitute legal, accounting, tax, investment, securities, financial, engineering, technical, or other professional advice and should not be relied upon as a substitute for advice appropriate to a particular transaction or circumstance.

3.2 No Advisory Relationship

Accessing the Site, contacting C&A, submitting an inquiry, participating in a preliminary discussion, or receiving general information from C&A does not create a client, advisory, fiduciary, agency, partnership, or other professional relationship.

A professional advisory relationship with C&A arises only through a written engagement agreement or other formal mandate executed by the applicable parties.

3.3 No Offer, Solicitation or Financing Commitment

Nothing on the Site constitutes or should be interpreted as:

  • An offer to buy or sell securities or financial instruments.
  • A solicitation of an investment.
  • Investment advice or a recommendation concerning any security or transaction.
  • A commitment to provide or arrange financing.
  • Confirmation that financing is available for any particular project or transaction.
  • A guarantee that capital, financing, investment, or any particular transaction outcome will be achieved.

References to transaction structures, capital strategies, market practices, financing structures, or institutional requirements are illustrative and provided for informational purposes.

3.4 Independent Evaluation

Users are responsible for conducting their own analysis and obtaining appropriate professional advice before making business, investment, financial, legal, or transactional decisions.

4. Website Access, Security & Acceptable Use

4.1 Availability

C&A may modify, restrict, suspend, or discontinue any part of the Site at any time.

We do not guarantee continuous or uninterrupted availability.

4.2 User Security

You are responsible for maintaining appropriate security over your own devices, accounts, credentials, networks, and information systems.

4.3 Prohibited Conduct

You may not:

  • Interfere with or disrupt the Site or its supporting infrastructure.
  • Attempt unauthorized access to accounts, systems, restricted areas, or data.
  • Introduce malware, malicious code, or harmful technologies.
  • Use the Site for unlawful, fraudulent, deceptive, defamatory, or infringing purposes.
  • Impersonate C&A or falsely represent an affiliation with C&A.
  • Circumvent access or security controls.
  • Systematically scrape, harvest, or extract Site content for unauthorized commercial purposes.
  • Use automated systems in a manner that materially impairs operation of the Site.

Nothing in this section is intended to prohibit ordinary indexing by legitimate search engines or activities otherwise permitted by applicable law.

5. Third-Party Sites & Services

The Site may contain links to third-party websites, publications, professional platforms, service providers, or other external resources.

Links are provided for convenience or informational purposes and do not necessarily constitute endorsement, sponsorship, or approval of the third party or its content.

C&A does not control third-party websites and is not responsible for their availability, security, content, terms, or privacy practices.

Users access third-party services at their own discretion and should review the applicable terms and policies.

6. Inquiries, Submissions & Feedback

6.1 Business and Mandate Inquiries

Information submitted to C&A in connection with a prospective advisory mandate, project inquiry, professional collaboration, or existing engagement will be handled in accordance with applicable law, C&A’s Privacy and Security Policy, and any contractual confidentiality obligations that apply.

Submission of information alone does not create a professional relationship or contractual duty to accept a mandate.

Users should avoid transmitting highly sensitive, privileged, or proprietary information through general website forms unless requested by C&A or an appropriate confidentiality arrangement is already in place.

6.2 Unsolicited Feedback

If you voluntarily provide suggestions, comments, ideas, or feedback specifically concerning the Site or C&A’s services (“Feedback”), C&A may use that Feedback for legitimate business purposes without compensation or attribution, unless otherwise agreed in writing.

This provision does not apply to:

  • Project or transaction information.
  • Client materials.
  • Financial information.
  • Confidential business information.
  • Personal information governed by the Privacy and Security Policy.
  • Materials provided under an existing confidentiality or professional engagement.

7. Privacy

C&A’s collection, use, disclosure, retention, and safeguarding of personal information are described in our Privacy and Security Policy, which should be read alongside these Terms.

Personal information is handled in accordance with applicable privacy law and the circumstances in which the information is collected.

Nothing in these Terms is intended to obtain consent to the collection, use, or disclosure of personal information where separate or more specific consent is required by law.

For general information about Canadian private-sector privacy obligations, visitors may consult the Office of the Privacy Commissioner of Canada. This external resource is provided for informational purposes and does not replace C&A’s privacy policy or applicable legal requirements.

8. No Warranties

To the maximum extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis.

C&A makes no representation or warranty that:

  • The Site will always be available, uninterrupted, secure, or error-free.
  • All Site content will be complete, accurate, or current at all times.
  • Information presented will be suitable for any particular transaction or purpose.
  • The Site will be free from viruses or other harmful components.

Professional, financial, regulatory, and market conditions change over time. Users should independently verify information relevant to any material decision.

9. Limitation of Liability

To the maximum extent permitted by applicable law, C&A and its directors, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to access to or use of the Site.

C&A will not be responsible for loss arising from:

  • Reliance on general Site content.
  • Interruption or unavailability of the Site.
  • Third-party websites or services.
  • Unauthorized third-party activity outside C&A’s reasonable control.
  • Decisions made without obtaining appropriate professional advice.

To the extent liability arising solely from use of the Site cannot lawfully be excluded, C&A’s aggregate liability will be limited to the maximum extent permitted by applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless C&A and its directors, officers, employees, and representatives from third-party claims, losses, or reasonable costs arising directly from:

  • Your unlawful use of the Site.
  • Your material breach of these Terms.
  • Your infringement of another person’s intellectual-property or other legal rights.
  • Fraudulent or intentionally harmful conduct undertaken through or in connection with the Site.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any rights or jurisdiction that cannot lawfully be excluded, disputes concerning these Terms or use of the Site will be subject to the courts located in Toronto, Ontario.

12. Compliance with Law

Users must comply with applicable law when accessing or using the Site.

This includes, where relevant, laws concerning intellectual property, privacy, sanctions, export controls, anti-corruption, fraud, computer security, and unlawful communications.

Nothing on the Site authorizes conduct that would otherwise require regulatory registration, licensing, or approval.

13. Suspension & Termination

C&A may restrict or terminate access to the Site where reasonably necessary to:

  • Protect the Site or its users.
  • Investigate suspected misuse or security issues.
  • Enforce these Terms.
  • Comply with applicable law.

Provisions intended by their nature to survive termination will continue to apply.

14. Advisory Role & Regulatory Positioning

Changoo & Associates is an independent advisory firm focused on institutional capital readiness, transaction structuring, governance, and execution planning.

C&A does not act as a broker, dealer, placement agent, or underwriter and does not engage in securities distribution.

Where a transaction requires regulated brokerage, placement, underwriting, securities distribution, or other licensed activity, those functions are undertaken by appropriately licensed or registered third parties.

C&A does not represent through this Site that capital is available for any particular transaction and does not guarantee financing, investment, approval, or transaction completion.

15. Miscellaneous

15.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

15.2 No Waiver

Failure by C&A to enforce a provision of these Terms does not constitute a waiver of that provision or any other right.

15.3 Assignment

You may not assign your rights or obligations under these Terms without C&A’s prior written consent.

C&A may assign these Terms in connection with a merger, reorganization, sale of substantially all relevant assets, or other lawful corporate transaction.

15.4 Separate Engagement Agreements

Where you enter into a written professional engagement with C&A, the applicable engagement agreement governs the professional relationship.

If there is a conflict between these Terms and an executed engagement agreement concerning professional services, the engagement agreement governs with respect to those services.

15.5 Entire Agreement

These Terms constitute the agreement between C&A and Site users concerning access to and use of the Site, except where separate terms expressly apply.
