1. INSTITUTIONAL CAPITAL READINESS
Before an institutional financing process can advance efficiently, the transaction must be prepared to meet institutional review requirements.
C&A’s readiness work may assess:
- transaction and corporate structure
- capital requirements and sources & uses
- proposed capital stack
- financial and underwriting assumptions
- sponsor contribution and alignment
- governance and decision-making
- diligence and documentation readiness
- risk allocation and mitigants

The objective is to establish what is institutionally actionable, what remains unresolved and what must be completed to support an effective financing process.
Readiness engagements are undertaken on a defined, non-contingent advisory basis, with scope and fees established following initial review.

2. TRANSACTION STRUCTURING & ADVISORY
Where a transaction requires further development, C&A may establish a project-specific advisory mandate.
The scope may include:
- transaction architecture
- capital-stack development
- debt and equity structuring strategy
- institutional positioning
- financing pathway analysis
- financial and commercial review
- institutional materials and transaction documentation
- diligence coordination
- advisor and stakeholder coordination
- governance and execution planning
Engagements may be structured through a defined project fee, advisory retainer or other agreed non-contingent arrangement, depending on the scope, complexity and anticipated duration of the mandate.
3. MANDATED TRANSACTION ADVISORY
For sufficiently developed transactions, C&A may accept a broader institutional advisory mandate supporting defined stages of transaction execution.
Mandates are individually structured and generally incorporate compensation for the analysis, structuring, preparation, governance and execution work required irrespective of financing outcome.
Where appropriate, legally permissible and documented within the applicable engagement structure, certain mandates may also incorporate transaction- or milestone-linked compensation.
HOW OUR ENGAGEMENT MODEL WORKS
Institutional transactions require substantive analysis, structuring, diligence preparation and execution planning before a financing outcome can be determined. These activities constitute professional advisory services independent of whether capital is ultimately committed.
C&A therefore undertakes institutional-readiness and transaction-structuring mandates on a defined, non-contingent advisory basis. Fees are established following initial review and reflect the transaction’s stage, scope, complexity, jurisdictions and execution requirements.
